Maintain your registered agent and registered office
Every non-profit corporation registered with the RI Department of State is required to have both a registered agent and a registered office on file.
Registered Agent
A registered agent is an individual or entity that receives official and legal documents on behalf of a business. To change your registered agent, file Form 641.
Registered Office
A registered agent must have a Rhode Island street address (Registered Office) and must be available at the given address during normal business hours to accept service of process. P.O. Boxes or shipping/postal company addresses do not meet this standard and are not allowed. Your Registered Office may or may not be the same as your principal place of business. To change the address of your registered agent, file Form 641A.
