Most frequent reasons for rejection

Below are some of the more frequent reasons for rejected annual report filings. If you have any questions about your annual report filing, please contact our Business Services Division at: (401) 222-3040. Please note that annual reports will not be accepted for Revoked Entities. We encourage you to use our Corporation Database to verify your entity status prior to filing the annual report.

Business corporations:

  • You’re filing your first annual report online and you neglected to delete the title of “Incorporator” and provide the names and addresses of the current officers (president, vice-president, secretary and treasurer) of the business corporation.
  • You have neglected to provide a brief description of the character of business conducted in Rhode Island.
  • The issued shares that you have provided are in excess of the number of authorized shares for your business corporation. An amendment must be filed in order to increase the authorized shares of a business corporation.
  • You have not indicated how many shares the business corporation has issued.

Non-profit corporations:

  • You’re a domestic (Rhode Island) non-profit corporation and you did not list the names and addresses of all of the directors. There shall be a minimum of three directors as required by statute in addition to your officers (president, vice-president, secretary and treasurer). Directors can also be officers, however, the president and secretary cannot be the same individual.
  • You’re filing your first annual report online and you neglected to delete the title of “Incorporator” and provide the names and addresses of the current officers (president, vice-president, secretary and treasurer) of the non-profit corporation.

Limited liability companies:

  • Prior to filing the annual report use our Corporate Database to verify whether your entity is managed by either members or managers.
  • You elected to be managed by your members on your articles of organization/certificate of registration, but you have listed a manager on the annual report form. The names of members are not listed on an annual report. To change your internal structure, an amendment is required.
  • You elected to be managed by one or more managers on your articles of organization/certificate of registration, but you did not list the name and/or address of your current manager(s). To change your internal structure, an amendment is required.
  • You have neglected to provide a brief description of the character of business conducted in Rhode Island.
