All forms filed with this office are legal transactions. Filers are responsible for determining which type of entity structure will best meet the needs of their new business. Our First Stop Business Information Center can provide some guidance.
The formation of any business entity where there is an expectation of income may be subject to income or franchise taxes. The state Division of Taxation is responsible for setting income or franchise tax rates or collecting and/or assessing income or franchise taxes. Prior to filing, you should know the tax liability of your entity type. If necessary, contact a tax consultant.
All of our filing forms are designed to meet minimal statutory filing requirements pursuant to the relevant statutory provision. Handwritten documents may be subject to rejection if not legible. Any form and the information provided are not substitutes for the advice and services of an attorney, tax specialist or other qualified professional.
The entity name you choose must be distinguishable from the names of all other entities on file in the active records of our database. Search our Name Availability Database to determine whether the name you wish to use is available.
Existing entities must be active and in good standing in order to record any additional filings. Search our Corporate Database to determine whether your entity is active and in good standing.
Once your entity has been added to our system, you will be assigned a CID/PIN number to securely access our online filing system. This is a fully automated filing office. Document processing time is normally 7-10 business days. Most documents are processed the same day they are received. You will not be notified that your filing has been accepted. Certificates authenticating your filing are electronically generated and available on our website once the document has been fully processed and verified by our office. Click HERE to obtain evidence of your filing. If your document could not be processed, you will be contacted within 10 business days. Click HERE to link to our Rejected Document Database. All filings are public records under Rhode Island General Law §§ 38-2-1, et seq. This means all information is available to the public by a variety of methods including, without limitations, inspection at our office, telephone inquiries and electronically through our online database.
